Paramount Skydance has completed its acquisition of Warner Bros. Discovery, the company said, in a transaction valued at $110bn. The combined company takes the name Skydance, according to Interfax, TASS and Vedomosti. Shares of the merged company will trade on the New York Stock Exchange under the ticker SKYD, and Warner Bros. Discovery shares stopped trading on Nasdaq on October 6, Vedomosti and Interfax reported. Under the deal terms, WBD shareholders received $31.02 per share, Vedomosti said. [ 3 , 5 , 6 , 7 ]

The combined company holds two major film studios, two global streaming services — Paramount+ and HBO Max, according to Meduza — television and cable assets including CBS and HBO, the news networks CBS News and CNN, and the sports assets CBS Sports and TNT Sports. Interfax quoted the company statement as saying the merged group also has an extensive content library and a broad collection of brands and franchises. Meduza, citing Bloomberg, reported that the company will also have to repay Warner Bros. debts of $80bn. [ 5 , 6 , 8 ]

The deal closed after all required regulatory approvals and other conditions were met, the company said. The US Justice Department approved it in June 2026 without additional requirements, expecting the new large player to strengthen competition in streaming, film and television, Kommersant reported. The European Commission approved it on July 22 after the companies accepted conditions in European film distribution: Paramount gave up retaining its stake in United International Pictures, its joint venture with Universal Pictures, in the European Economic Area, with the sale to be completed within 13 months of closing, and committed not to conclude new distribution agreements with Universal in Europe for ten years, Vedomosti reported. Kommersant said US and European regulators assessed the same deal differently. [ 5 , 6 , 7 ]

The transaction drew opposition in the United States. In July 2026, attorneys general of 12 states sued to block it, arguing the merger would eliminate competition between Paramount and Warner Bros., potentially raising prices and reducing the quality and volume of content, Kommersant reported. Meduza reported that the Writers Guild of America and hundreds of actors, directors, writers and producers also opposed it, fearing higher consumer prices and job losses. In September, Paramount reached a settlement with the states, and on September 30 the federal court for the Northern District of California approved it, according to Kommersant. Under the agreement the combined company must release at least 30 films a year for five years, provide 45 days of theatrical release before new titles appear on streaming, and invest an additional $300m a year in the US film industry, Kommersant and Meduza reported. Meduza added that the company will create a special board to ensure the editorial independence of CBS and CNN. [ 7 , 8 ]

Paramount and Warner Bros. Discovery agreed the terms in February 2026, valuing WBD at $81bn, or $110bn including debt, Interfax and Kommersant reported. Meduza reported that media magnate David Ellison completed the merger of his Skydance Media with Paramount in August of last year and in December entered the contest to buy Warner Bros. against Netflix, helped by a higher offer and personal financial guarantees from his father, Oracle co-founder Larry Ellison. Meduza also recalled that in December last year Ellison promised Donald Trump to “radically change” CNN if the purchase went through. [ 6 , 7 , 8 ]

Por qué importa

The combined company brings two major studios, two global streaming services, the news networks CBS News and CNN and sports assets under one owner, making it one of the largest players in media and entertainment, according to Kommersant. Opponents among US state prosecutors and Hollywood workers argued the merger would reduce competition and cut jobs, and the settlement terms they won — theatrical releases and a film-output commitment — will shape how the merged company operates in the US market. European approval came with divestment and distribution commitments, showing regulators on the two sides of the Atlantic treated the same deal differently.
